Terms and Conditions

Effective date: September 13, 2026

Service provider: Book Uplift.

Contact: contact@bookuplift.com

These Terms govern our Amazon Ads management services for books. “Book Uplift,” “we,” and “us” mean the service provider identified above. “You” means the client identified in the onboarding confirmation.

Our fee is 15% of positive Sales minus Ad Spend for each book, marketplace and calendar month. This is a contractual fee calculation, not your actual profit or royalties. Amazon advertising charges are payable separately, even when our fee is zero.

1 Agreement and scope

The agreement begins when you expressly accept these Terms electronically or in writing and we confirm your onboarding. Submitting an enquiry form alone does not start the service. If you act for an author, publisher, agency or other organization, you confirm that you have authority to enter this agreement and authorize access to the relevant advertising account.

The onboarding confirmation identifies the books and formats covered, their ASINs, marketplaces, monthly advertising budgets, any management fee caps, and your contact details. Each book and marketplace is a separate service unit. Formats are grouped only as identified in that confirmation; otherwise each listed ASIN is treated separately. This scope determines all separate calculations below.

2 Campaign management and access

We assign a campaign manager as your point of contact. You provide the permissions required to manage Amazon Ads, using Amazon’s authorized user access tools. If you do not yet have an Amazon Ads account, we assist with setup; the account, billing information and relationship with Amazon remain yours. Do not share your Amazon password with us.

We create, launch, monitor and optimize the agreed campaigns. You authorize us to adjust targeting, bids and campaign settings, and to pause campaigns within the agreed scope. Managed campaigns are identified with Book Uplift in their names or other agreed identifiers. Existing campaigns are included only if expressly taken into management. We may replace the assigned manager and notify you of any access changes needed.

3 How our fee is calculated

For each service unit and calendar month: Management Fee = 15% × max(0, Sales − Ad Spend).

“Sales” means the monetary sales value attributed by Amazon Ads to the managed campaigns for the reporting period. “Ad Spend” means the advertising spend reported by Amazon Ads for those campaigns for that period, excluding separately charged taxes. We use the applicable advertising account’s reporting dates and time zone, identified in the report.

Kindle Unlimited, KENP page reads and KENP royalties are excluded from the fee calculation. Organic sales and sales not attributed by Amazon Ads to the managed campaigns are also excluded. No additional estimate is added for indirect or untracked sales.

Sales is not the royalty amount Amazon pays you. The calculation does not deduct Amazon’s share of book sales, printing or delivery costs, your taxes, production costs or other expenses. A management fee can therefore be due even if your actual book business loses money. You are responsible for deciding whether your book margins support the service.

For example, Sales of 1,000 and Ad Spend of 400 in the same currency produce a fee of 90. If Sales is no greater than Ad Spend, the fee is zero. There is no fixed monthly management fee or minimum management fee under this agreement.

Each service unit is calculated independently. Losses on one book or marketplace do not offset positive results on another, including the same book in another marketplace. Losses do not carry forward to later months. A partial month uses the same formula for the managed period.

4 Advertising budgets

You pay Amazon directly for advertising. Our fee does not include, reimburse or replace Amazon charges. Before launch, you authorize a monthly advertising budget for each service unit in that marketplace’s currency. Budgets exclude taxes separately charged by Amazon. You remain responsible for Amazon billing and your own tax obligations.

We manage spend within the authorized monthly budget and pause the affected campaigns when the budget is reached. Campaigns remain paused until the next calendar month unless you authorize a budget increase in writing. Subject to other pauses under these Terms, they may resume the next month under the existing budget. Unused budget is not added to the next month’s allowance.

The budget is a maximum authorization, not a spending target or minimum commitment. Actual spend may be substantially lower. We do not guarantee that Amazon will deliver any particular volume of clicks or spend. Any charges posted after a pause remain part of the applicable advertising spend and do not increase your authorized budget.

Tell us before changing managed campaigns or their settings yourself, or allowing another manager to do so. Spend caused by changes outside our control may affect budget management; we are not responsible to the extent an overrun is caused by your unauthorized changes. This does not excuse our own failure to manage the agreed budget with reasonable care.

5 Fee alerts and fee caps

For each service unit, we send an alert when the estimated monthly management fee reaches each additional 100 units of the marketplace currency: for example, USD 100 in the United States, CAD 100 in Canada, GBP 100 in the United Kingdom or EUR 100 in euro marketplaces. Alerts use the fee estimate, not gross Sales. Thresholds reset each calendar month. Other currencies require thresholds specified in onboarding.

At each additional 500 units of estimated monthly management fee, we pause the affected campaigns and request your written confirmation before continuing. Silence is not authorization. We act promptly after detecting the threshold and no later than 24 hours after detection. An update may cover multiple thresholds crossed between checks.

You may also agree a monthly management fee cap for each service unit, separate from its Amazon advertising budget. We pause campaigns on reaching that estimated cap and require written authorization to increase it and continue during that month. A cap or pause threshold is a campaign management instruction, not a discount or waiver of fees already earned under Section 3.

Alerts and caps are based on the data available when reviewed; they are not real-time guarantees. Reporting delays, activity before a pause takes effect and later attribution can increase the calculated fee after an alert or pause. A local-currency cap does not guarantee a fixed maximum USD equivalent. You can request a pause at any time.

6 Reports and payment

We email the monthly performance report and payment request during the first five Business Days of the following month, allowing at least two Business Days after month-end before closing the calculation. The report identifies each service unit, its Sales, Ad Spend, management fee, reporting period and any currency conversion. A report showing no fee does not require payment to us.

For fee calculation, the report uses an identifiable snapshot of Amazon Ads data available at the calculation time. Ordinary later changes in Amazon’s attribution data do not trigger a routine recalculation of that closed period. This applies equally to increases and decreases. We correct our own calculation errors, duplicate charges and use of data outside the agreed scope, and provide a corresponding credit or refund where due. This reporting rule does not limit rights that cannot lawfully be excluded.

A positive fee is payable in USD within five Business Days after you receive the report and payment request, irrespective of when Amazon pays your royalties. Payment is made through the bank transfer or PayPal payment instructions supplied in the request. Payment is completed when funds are credited to the designated account.

We calculate each fee in its marketplace currency, then convert it to USD using the latest available European Central Bank reference rates at the time the payment request is issued. Since ECB rates are quoted against EUR, conversion from another currency is: local fee ÷ local-currency units per EUR × USD units per EUR. EUR fees are multiplied directly by the USD-per-EUR rate. USD fees need no conversion.

The report states the reference-rate date, rates used and USD amount, rounded to two decimals per service unit. The USD amount is fixed once issued. ECB rates are an agreed calculation reference, not a guaranteed rate offered by a bank or payment provider. Your provider may apply its own conversion rate and charges. If an ECB rate is unavailable for a marketplace currency, we agree a replacement source before starting that service unit.

A You bear charges imposed by your sending bank or currency conversion provider. We bear our ordinary payment-receiving fees and do not add a PayPal surcharge.

Send report questions or disputes promptly to contact@bookuplift.com, identifying the item and reason. We review them in good faith. Undisputed amounts remain payable on time; we do not archive campaigns solely for nonpayment of an amount subject to a genuine, reasonably explained dispute while that dispute is being reviewed. Campaigns may remain paused during the review.

7 Pauses and ending the service

You may request a pause or end any service unit at any time by emailing contact@bookuplift.com or your assigned manager. We pause the affected campaigns promptly and within 24 elapsed hours of receipt, including weekends. Ending service does not depend on paying an outstanding balance first, but fees already earned remain payable.

We may end any service unit or the collaboration at any time by email, stating the effective date, and pause the affected campaigns by that date. We may suspend immediately for overdue payment, missing access, Amazon account restrictions, unlawful activity or material interference with campaign management.

On closure, we calculate any unbilled fee for the managed period using the same snapshot method. The final report may be issued after the pause once the reporting buffer has elapsed, and no later than the next regular monthly reporting deadline. Payment is due within five Business Days of receipt. We do not charge for subsequent campaign activity run by you or another manager after our service ends.

If payment is overdue, we send a suspension notice and pause managed campaigns. If the overdue amount remains unpaid for a further five Business Days after receipt of that notice, we may terminate service and permanently archive the campaigns we created, subject to the dispute procedure above. The notice identifies the deadline and intended archiving. Archiving does not erase the outstanding fee.

For an agreed closure without unresolved nonpayment, we may leave our campaigns in the account for your continued use, confirmed in writing. Otherwise, we may archive campaigns we created when closing the service, after notifying you. You expressly authorize this archiving. Archived campaigns cannot simply be restarted; they may remain visible in account history.

You may revoke access to your account. Revocation does not cancel earned fees; if it prevents a final report, we use the last available records and request any missing reporting information from you. We confirm closure and relinquish access when our management work ends. Payment obligations and necessary record retention can continue after access ends.

8 Client responsibilities and service standards

You confirm that you hold or are authorized to use the rights needed to advertise the books, covers, descriptions and other materials supplied. You are responsible for book content, pricing, availability, Amazon account standing and accurate onboarding information. Notify us promptly of changes that may affect campaigns. We may decline or stop advertising that violates law or Amazon policies.

We perform the agreed management services with reasonable care and skill. We do not guarantee sales, actual profit, rankings, ACOS, advertising approval or a minimum level of activity. Acceptance into the service is not a prediction that a book will succeed. Book Uplift is an independent service provider and is not Amazon or endorsed by Amazon.

Amazon controls ad delivery, attribution, billing and account decisions. We are not responsible for Amazon outages, reporting changes or account actions outside our control, except to the extent our own breach or negligence caused the loss. Nothing here excludes liability for fraud, wilful misconduct, gross negligence or any liability or statutory right that cannot lawfully be excluded.

9 Confidentiality and personal information

Each party protects the other’s non-public account, business and financial information and uses it only to provide or receive the service, administer payments or meet legal obligations. We limit access to people and service providers who need it and are subject to appropriate confidentiality obligations. We do not publish your name, results or account screenshots as a case study without permission.

We process necessary contact, access, campaign and payment information to administer the relationship and retain records as required by applicable law. We provide a separate privacy notice explaining personal-data handling and rights. These Terms do not replace that notice or any data-processing agreement required for the actual services.

10 Notices and general provisions

“Business Day” means Monday through Friday, excluding United States federal holidays. Business-day payment periods begin on the next Business Day after receipt. An email is received when delivered to the designated email account without a delivery-failure notice; contact us if an expected report is missing. The 24-hour campaign pause commitments use elapsed hours, not Business Days.

These Terms and your written onboarding confirmation form the service agreement. Specifically agreed onboarding details control the identified scope, budgets and caps; other departures require express written agreement. Changes to the fee formula or other material terms require your express acceptance before applying. They do not apply retroactively.

Any dispute may first be raised at contact@bookuplift.com so that we can try to resolve it directly. This agreement does not impose mandatory arbitration or an exclusive court. Applicable law and competent courts are determined under the relevant legal rules, and mandatory rights remain unaffected. If a provision is unenforceable, the remainder continues to apply so far as legally permitted.
